As a Company Secretary, your primary role entails ensuring the organization complies with its financial and legal responsibilities, alongside maintaining exemplary standards of corporate governance. While it's not required to offer legal counsel, possessing a solid understanding of the applicable regulations within your industry is essential.

1. Company Secretary Roles and Functions
- Perform and oversee day-to-day corporate and administrative matters for a portfolio of companies and investment funds
- Review the output of Company Secretaries and coach the team, imparts knowledge across teams and act as an escalation point for Company Secretaries and Company Administrators
- Initiates lead and complete team-related projects and initiatives
- Manage and execute corporate changes, filings and meetings with both internal and external stakeholders or service providers proactively develops standard processes and procedures further and solves complex situations
- Manage independently board and committee meetings drafting minutes and circular resolutions
- Maintenance of accurate records and statutory registers for each entity, ensuring that all amendments are made in a timely manner
- Liaising and coordinating with service providers and maintaining oversight on service providers
- Regulatory and statutory filings and monitoring of other Luxembourg legal obligations
- Liaising with notary offices, legal counsels, regulator and Trade Register (as applicable)
- Building and maintaining strong working relationships with clients, colleagues and other business contacts
2. Company Secretary Requirements and Qualifications
- University degree and/other relevant professional qualification (preferably Business Administration, Law or ICSA Certificate level) or significant knowledge of corporate secretarial matters acquired through 8+ years of experience in a legal and corporate/fund environment
- Fluent written and spoken English, any additional language is an asset
- Excellent organizational and administrative skills, team player who can work independently
- Strong organizational, analytical and prioritization skills
- Strong interpersonal and communication skills - the ability to communicate effectively at all levels
- Able to tackle challenges and meet tight deadlines
- Affinity to work with new technology is a must
